An English law process agent is required when legal agreements made between parties based outside of the UK jurisdiction, including UK mortgages, , lease agreements, raising capital, credit financing,, facility agreements, contracts, tenders, ISDA, property transactions, share agreements and trade finance, as well as many other transactions requiring a process agent.
ULPAL's appointment provides for an unlimited number of documents served during the year for a specific transaction or suite of transactions between the primary appointor and other named parties.
Each separate transaction or suite of transactions will require its own quotation and appointment, as per the pricing schedule on our Appointment Application form.
The Primary Appointor in a group transaction is the person/entity which executes the majority of the English law documents in relation to the relevant transaction (or if a joint majority then any one of the persons/entities which is part of that joint majority).
This is usually the primary appointor. Alternatively their lawyer will appoint legal process agents when required.
The date included in the application form can be included as “on or around” a particular month and year if there is no singular date that applies.
Most transactions require fixed term process agent appointment that runs for a predetermined number of years in line with the term of the transaction.
The fee is paid at commencement and reduces for each year of appointment.
After the initial payment there are no further charges, or refunds if the appointment is cancelled before the expiry date.
The Appointment Application form is a contract and must be signed by a representative of the entity or individual who will be responsible for paying the fee to UK Legal Process Agents Limited.
